Welcome to RolodexROI ("RolodexROI," "we," "us," or "our"). By accessing or using our website, applications, or services (collectively, the "Service"), you agree to these Terms of Use. If you do not agree, do not use the Service. We may update these terms from time to time; continued use after changes constitutes acceptance of the revised terms.

Description of Service

RolodexROI provides a referral directory platform that helps professionals share curated local businesses with clients. Network owners create public Rolodex pages, invite contacts, and may agree on referral fees. Visitors may submit information through lead forms on those pages. The Service includes tools to track lead form submissions and related referral fee information between parties using the platform. RolodexROI does not guarantee any particular business outcome or referral volume.

User Accounts & Eligibility

You must be at least 18 years old and located in the United States to create an account or use the Service in a capacity that requires registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use.

Referral Fees & Payments

Referral fees, amounts, and payment terms are negotiated and agreed between network owners and their contacts (or as otherwise arranged between those parties). RolodexROI facilitates tracking and related communications but is not a party to those agreements and is not responsible for collecting, disbursing, or enforcing payments. Disputes regarding fees or performance are solely between the relevant users; you release RolodexROI from claims arising from such disputes to the fullest extent permitted by law.

Lead Data & Contact Consent

When a visitor submits a lead form on a Rolodex page, they consent to the network owner, the identified contact business, and RolodexROI using that information to operate the Service, deliver the lead, and send related transactional or operational messages. Users who submit leads should expect to be contacted by the relevant business regarding their request.

Prohibited Uses

You may not use the Service unlawfully, to harass others, to transmit malware, to scrape or overload our systems, to misrepresent your identity or affiliation, to submit false leads, or to violate others' intellectual property or privacy rights. We may suspend or terminate access for violations or for conduct we reasonably believe harms the Service or other users.

Intellectual Property

The Service, including its design, branding, software, and content provided by RolodexROI, is owned by RolodexROI or its licensors and is protected by intellectual property laws. Subject to these terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You retain ownership of content you upload; you grant us a license to host, display, and process that content as needed to operate the Service.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROLODEXROI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT PAID US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these terms or if we discontinue or materially modify the Service. Provisions that by their nature should survive (including disclaimers, limitations of liability, and dispute terms) will survive termination.

We may revise these Terms of Use by posting an updated version on this page and updating the "Last updated" date. Material changes may be communicated through the Service or by email where appropriate. Your continued use after the effective date of changes constitutes acceptance.
